Agreement to Terms

These Terms of Use (the "Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sentinel Labs, Inc. ("Sentinel," "Company," "we," "us," or "our"), a corporation incorporated under the laws of the State of Delaware, United States, with its registered office at 1209 Orange Street, Wilmington, DE 19801.

By accessing, browsing, or using the Sentinel platform, tools, APIs, websites, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately cease use of the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, scanners, contributors of content, and any other persons who access or use the Service in any manner. Sentinel reserves the right to revise these Terms at any time. Continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes.

Service Description

Sentinel provides a read-only wallet security analysis platform that enables users to scan Ethereum-compatible wallet addresses for potential security risks, including but not limited to: outstanding token approvals, smart contract exposure, behavioral anomalies, and cross-referenced threat intelligence. The Service presents information derived from public blockchain data and aggregated threat databases.

Sentinel is an informational tool. We do not execute transactions on your behalf. We do not hold, custody, transfer, or otherwise control any digital assets, cryptocurrency, tokens, or other financial instruments. We do not hold your private keys, seed phrases, or any cryptographic material that would permit us to access or move funds. The phrase "read-only" means precisely that: all data retrieval performed by the Service uses public RPC calls that require no authorization beyond a wallet address — the same calls made by any block explorer.

When you choose to revoke an approval through the Service, Sentinel prepares and presents a transaction for you to review and sign independently in your own wallet application. Sentinel does not broadcast, co-sign, or otherwise participate in that transaction. The transaction is submitted to the blockchain by your own wallet software at your sole instruction. Sentinel bears no responsibility for the outcome, timing, or gas cost of any transaction you choose to initiate.

The Service is provided subject to availability. Sentinel does not guarantee continuous, uninterrupted, or error-free operation of the Service. Scheduled and unscheduled maintenance may result in temporary unavailability.

Eligibility

You must be at least 18 years of age to access or use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.

You represent and warrant that you are not: (a) located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to a comprehensive embargo maintained by the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, or any other applicable sanctions authority; (b) identified on any sanctions list maintained by OFAC, the U.S. Department of State, the EU, the UK's HM Treasury, or the United Nations; or (c) otherwise prohibited by applicable law from using the Service.

Sentinel reserves the right to refuse access to the Service to any person or entity at its sole discretion, and to discontinue providing the Service to any person who, in Sentinel's judgment, violates these Terms or presents legal, regulatory, or reputational risk to the Company.

Accounts and Access

Certain features of the Service may require account registration. Where an account is required, you agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree not to share your account credentials with any third party, and to notify Sentinel immediately at [email protected] if you suspect unauthorized access to your account. Sentinel will not be liable for any loss or damage arising from your failure to comply with this obligation.

You may not create more than one account per person or entity without Sentinel's prior written consent. Accounts are non-transferable. You may not transfer, sell, or assign your account or any rights thereunder to any other person or entity.

License to Use the Service

Subject to your compliance with these Terms, Sentinel grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial, or internal business security assessment purposes. This license does not include any right to: (a) sell, resell, or commercially exploit the Service or its outputs; (b) copy or duplicate the Service's proprietary technology or methodology; or (c) use the Service in any manner not expressly permitted by these Terms.

This license is conditioned upon your continued compliance with these Terms. Any breach of these Terms automatically terminates the license granted herein. Sentinel reserves all rights not expressly granted in these Terms. No license is granted by implication, estoppel, or otherwise.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

  • To scrape, crawl, index, or systematically download data from the Service through automated means, without Sentinel's prior written consent;
  • To reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any portion of the Service;
  • To probe, scan, or test the vulnerability of Sentinel's systems or networks without authorization;
  • To transmit any malware, worms, Trojans, or other harmful code through the Service;
  • To violate the security of any computer, network, or account;
  • To infringe upon the intellectual property rights, privacy rights, or other legal rights of any person;
  • To use the Service in any manner that could damage, disable, overburden, or impair the Service or its underlying infrastructure;
  • To use the Service to scan wallet addresses belonging to other persons without their consent or for surveillance, harassment, or stalking purposes;
  • To engage in any fraudulent or deceptive conduct in connection with the Service;
  • To access or use the Service if you are prohibited from receiving products, services, or software originating from the United States under applicable export control laws.

Sentinel reserves the right to investigate violations of these restrictions and to take any action we deem appropriate in our sole discretion, including removing content, suspending or terminating accounts, and reporting suspected violations to law enforcement authorities.

Intellectual Property

The Service and its entire contents, features, functionality, design, text, graphics, software, code, data compilations, threat intelligence databases, and all other materials (collectively, "Sentinel Content") are owned by Sentinel Labs, Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms shall be construed as transferring any ownership interest in Sentinel Content to you.

You retain all ownership rights in data or information you submit to the Service (for example, wallet addresses you submit for scanning). By submitting data, you grant Sentinel a limited, royalty-free license to process such data solely as necessary to provide the Service to you. Sentinel will not use your submitted data for purposes beyond those described in the Privacy Policy. On-chain data is public by nature; your submission of a wallet address to the Service does not create any proprietary interest in that address or the on-chain data associated with it.

The Sentinel name, logo, and related trademarks are trademarks of Sentinel Labs, Inc. You may not use these marks without Sentinel's prior written consent.

Third-Party Services

The Service may integrate with, rely upon, or link to third-party services, including but not limited to: Ethereum and EVM-compatible RPC node providers, block explorers, threat intelligence databases (including but not limited to Forta Network, GoPlus Security, and similar services), analytics providers, and cloud infrastructure operators. These third-party services are governed by their own terms of service and privacy policies.

Sentinel is not responsible for the availability, accuracy, completeness, or reliability of any third-party service or content. Third-party threat databases may not capture all known threats, may lag real-world events, or may contain errors. Sentinel's use of third-party intelligence does not constitute an endorsement of or warranty regarding such services.

You acknowledge that Sentinel's Service may be disrupted by the unavailability of third-party infrastructure beyond Sentinel's control, including but not limited to RPC node outages, blockchain congestion, and database provider downtime. Sentinel shall not be liable for any such disruption.

No Financial, Legal, or Tax Advice

Nothing in the Service, its outputs, its documentation, or any communication from Sentinel constitutes financial advice, investment advice, trading advice, legal advice, or tax advice. The Service is an informational security tool, not a financial or advisory service. Sentinel is not registered as an investment advisor, broker-dealer, financial planner, or legal professional in any jurisdiction.

Decisions about revoking approvals, moving assets, interacting with protocols, or any other action taken in connection with information provided by the Service are made solely at your own risk and discretion. Before making any significant financial or legal decision, you should consult a qualified professional licensed in your jurisdiction. The threat ratings, risk scores, and recommendations generated by the Service are automated assessments based on publicly available data and heuristic models; they are not individually tailored advice and do not account for your personal circumstances, risk tolerance, or financial situation.

Disclaimer of Warranties

To the maximum extent permitted by applicable law:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SENTINEL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SENTINEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SENTINEL DOES NOT WARRANT THAT ANY DEFECT IN THE SERVICE WILL BE CORRECTED, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. SENTINEL DOES NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING THREAT ASSESSMENTS, APPROVAL DATA, OR BEHAVIORAL ANALYSIS. THREAT DATABASES ARE UPDATED ON AN ONGOING BASIS BUT MAY NOT REFLECT THE MOST CURRENT THREAT LANDSCAPE AT THE TIME OF ANY PARTICULAR SCAN.

Some jurisdictions do not permit the exclusion of certain warranties. To the extent such laws apply to you, some of the above exclusions may not apply in full, but they shall apply to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by applicable law:

IN NO EVENT SHALL SENTINEL LABS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF CRYPTOCURRENCY OR DIGITAL ASSETS, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF SENTINEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Notwithstanding any other provision of these Terms, Sentinel's total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of: (a) one hundred United States Dollars (USD $100.00); or (b) the total fees paid by you to Sentinel in the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations of liability set forth herein reflect a reasonable and fair allocation of risk between the parties and form an essential basis of the bargain between you and Sentinel. Without these limitations, Sentinel would not be able to offer the Service on the terms set forth herein. Some jurisdictions do not permit limitation of certain types of liability; in such jurisdictions, limitations shall apply to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Sentinel Labs, Inc. and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service in a manner not authorized by these Terms; (c) any data, content, or information you provide through the Service; (d) your violation of any third-party rights, including intellectual property rights or privacy rights; or (e) your violation of any applicable law or regulation.

Sentinel reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without Sentinel's prior written consent.

Termination

Sentinel may, in its sole discretion, suspend or terminate your access to all or any portion of the Service at any time, with or without notice, and with or without cause, including but not limited to your violation of these Terms or any applicable law. You may terminate your use of the Service at any time by ceasing to access it; if you have an account, you may request account deletion by contacting [email protected].

Upon termination: (a) your license to use the Service immediately and automatically terminates; (b) Sentinel will handle your personal data in accordance with the Privacy Policy and applicable data protection law; and (c) any data associated with your account will be deleted or anonymized within the timeframes set out in the Privacy Policy. Scan results cached for performance purposes will be purged on a rolling 30-day basis regardless of account status.

Sections 7, 9, 10, 11, 12, and 15 of these Terms shall survive any termination or expiration of these Terms or your use of the Service.

Modifications to the Service and Terms

Sentinel reserves the right to modify, suspend, or discontinue the Service or any feature thereof at any time, with or without notice. Sentinel will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

Sentinel may revise these Terms from time to time. When we make material changes, we will provide notice by posting the updated Terms to this page with a revised "Last updated" date, and where practicable, by sending an email notification to registered users. Changes will take effect upon posting unless we specify a later effective date. Your continued use of the Service after the effective date of any revised Terms constitutes your binding acceptance of such changes. If you do not agree to the revised Terms, you must stop using the Service.

Governing Law and Disputes

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you hereby irrevocably consent to personal jurisdiction and venue in such courts. If you are a consumer resident in a jurisdiction where applicable law mandates a different forum, such mandatory provisions shall control to the extent they conflict with this Section.

CLASS ACTION WAIVER: TO THE EXTENT PERMITTED BY LAW, YOU AND SENTINEL EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
JURY TRIAL WAIVER: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SENTINEL EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE.

General Provisions

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable, preserving the original intent of the parties as closely as possible.

Assignment. You may not assign or transfer any rights or obligations under these Terms without Sentinel's prior written consent. Sentinel may freely assign these Terms and any rights hereunder without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their permitted successors and assigns.

Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices or agreements published by Sentinel in connection with the Service, constitute the entire agreement between you and Sentinel regarding the Service and supersede all prior agreements, representations, warranties, and understandings, whether written or oral, with respect to the subject matter hereof.

Sentinel may provide notices to you at the email address associated with your account or through the Service interface.

Waiver. Sentinel's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any provision in one instance shall not constitute a waiver in any other instance.
